These Terms govern your access to and use of the ScholarFlow platform and related services, websites, APIs, and applications (collectively, the "Service"). If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
You must be at least 18 years old (or older if required in your jurisdiction) to use the Service. You are responsible for account security, confidentiality of credentials, and all activity under your account.
Paid features may be billed on recurring terms shown at checkout. You authorize us and our payment processors to charge applicable fees and taxes. Unless required by law, fees are non-refundable after a billing period starts.
You retain ownership of content you upload or create ("User Content"). You grant us a limited, non-exclusive, worldwide license to host, process, transmit, and display User Content solely to provide, secure, and improve the Service.
AI features may produce inaccurate, incomplete, or outdated outputs. You are responsible for validating AI-generated content before publication, submission, funding decisions, safety decisions, or other high-impact use cases.
You agree not to misuse the Service, including by:
The Service may integrate with third-party providers (for example identity, AI, email, storage, and analytics providers). Your use of third-party services is subject to their terms and privacy practices.
We maintain reasonable administrative, technical, and organizational safeguards designed to protect the Service and User Content. If we become aware of a confirmed security incident affecting your data, we will provide notice as required by law.
The Service, including software, interfaces, branding, and documentation, is owned by ScholarFlow or its licensors and is protected by applicable intellectual property laws. Except as expressly permitted, no rights are granted to you by implication or otherwise.
We may suspend or terminate access if you violate these Terms, create security risk, fail to pay fees, or where required by law. You may stop using the Service at any time and may request account closure.
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, ScholarFlow and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Aggregate liability is limited to amounts paid by you for the Service during the 12 months before the claim.
You agree to defend and indemnify ScholarFlow from claims arising from your misuse of the Service, your User Content, or your violation of these Terms or applicable law.
These Terms are governed by the laws of State of Delaware, United States. Disputes will be resolved in the courts or arbitration venue of State of Delaware, United States, except where local consumer law requires a different forum.
We may modify these Terms periodically. Material updates will be communicated through the Service or by other reasonable means. Continued use after updates become effective constitutes acceptance of the revised Terms.
