1. Agreement and Scope
These Terms of Service ("Terms") govern your access to and use of theAcaTrove websites, applications, APIs, and related services (collectively, the "Service") operated by ScholarFlow LLC. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and the Privacy Policy.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility, Accounts, and Security
You must be at least 18 years old and legally able to enter into a binding contract to use the Service.
- Keep your account credentials confidential and use a strong, unique password.
- Provide accurate account information and keep it current.
- Promptly notify us at the support address above if you suspect unauthorized access or another security issue involving your account.
- You are responsible for activity that occurs through your account until you notify us of a compromise and we have a reasonable opportunity to act.
3. Subscriptions, Fees, and Taxes
Some features require a paid subscription or paid add-ons. Pricing, billing intervals, and included usage limits are presented at checkout or in your workspace billing settings.
You authorize us and our payment processors to charge the fees, taxes, and other amounts associated with your selected plan. Except where required by law, fees are non-refundable once a billing period starts.
4. Your Content and Our License
You retain ownership of content, documents, project materials, and other data you upload, generate, or store through the Service ("User Content").
You grant us a limited, non-exclusive, worldwide license to host, process, transmit, reproduce, and display User Content only as needed to provide, secure, maintain, and improve the Service.
You are responsible for ensuring that you have the rights needed to upload User Content and that your User Content does not violate law or third-party rights.
5. AI Features and Output
The Service includes AI-assisted research, writing, drafting, summarization, planning, and analysis features. AI output can be incomplete, inaccurate, outdated, biased, or otherwise wrong.
- You must review and validate AI output before relying on it.
- Do not treat AI output as legal, medical, clinical, compliance, funding, employment, safety, or other professional advice.
- The Service is not designed for emergency, life-safety, or other high-risk use cases where errors could cause death, personal injury, or significant property damage.
6. Acceptable Use
You may not use the Service to:
- break the law, infringe rights, or violate export, sanctions, privacy, or confidentiality obligations;
- gain unauthorized access to accounts, systems, or data;
- probe, scan, reverse engineer, disrupt, overload, or circumvent security or rate limits;
- upload malware, harmful code, or deceptive content;
- use the Service to develop or improve a competing product through unauthorized scraping or extraction;
- misrepresent your identity, affiliation, or authority.
7. Third-Party Services
The Service depends on third-party providers for functionality such as payment processing, communications, authentication, hosting, storage, and AI inference. Those providers may have their own terms and privacy practices, and we are not responsible for third-party services we do not control.
8. Availability, Security, and Changes
We work to operate the Service responsibly, but the Service may be unavailable, interrupted, delayed, or degraded because of maintenance, third-party outages, security incidents, abuse prevention, or events outside our control.
We maintain administrative, technical, and organizational safeguards that are reasonable for a company of our size and stage, but no service can be guaranteed to be completely secure or error-free.
If we confirm a security incident affecting personal information and notice is required by applicable law, we will provide notice consistent with those legal requirements.
9. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create legal or security risk, fail to pay fees when due, or if we reasonably believe suspension is necessary to protect the Service, our users, or third parties.
You may request account closure by contacting hello@acatrove.com or privacy@acatrove.com. Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, dispute terms, and payment obligations.
10. Ownership and Feedback
The Service, excluding User Content, is owned by ScholarFlow LLC or its licensors and is protected by intellectual-property and other laws.
If you send us feedback, suggestions, or ideas, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without compensation or obligation to you.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THAT ANY CONTENT OR OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR USE CASE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER SCHOLARFLOW LLC NOR ITS AFFILIATES, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply even if a remedy fails of its essential purpose and do not limit liability that cannot be limited under applicable law.
13. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless ScholarFlow LLC and its affiliates, managers, officers, employees, contractors, and licensors from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your misuse of the Service, or your violation of these Terms or applicable law.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of State of California, United States, excluding conflict-of-law rules.
Before filing a claim, you and ScholarFlow LLC agree to try to resolve the dispute informally by written notice sent to privacy@acatrove.com or the contact information you provide to us. If the dispute is not resolved within 30 days, either party may proceed as described below.
If you are an individual using the Service for personal or household purposes, any dispute that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Either party may instead bring an eligible claim in small claims court. If the AAA declines to administer a consumer claim, either party may proceed in a court of competent jurisdiction in Sacramento County, California.
If you are not using the Service as a consumer, any dispute that is not resolved informally will be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules in Sacramento County, California, United States.
You and ScholarFlow LLC agree that disputes will be conducted only on an individual basis, not as a class, collective, coordinated, consolidated, or representative action. Nothing in this section prevents either party from seeking temporary or permanent injunctive relief in court for actual or threatened misuse of the Service, infringement, misappropriation, or unauthorized access to systems or data.
15. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will update the Last Updated date above and provide notice through the Service or another reasonable method before the change takes effect. Continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.
